Company formation
What must exist for a company to acquire its own legal form — and what still depends on Candeia’s company-law rules.

What forming a company requires
The Constitution protects lawful business activity but leaves operational regulation to law. The Foundation Day Minimum Legal Code must cover formation, minimum governance, liability, records, dissolution and other elements necessary for a company to exist in a legally verifiable manner.
Economic freedom
A licence, registration or restriction may be required only by law and only to the extent necessary and proportionate.
Types and capital
The constitutional proposal does not currently set a list of company types, minimum capital, fees, deadlines or a standard number of directors.
Registration and history
When the law gives constitutive or declaratory effect to registration, the official source must preserve amendments and the historical chain.
An account is not a company
A trade name, domain, digital wallet, profile or Public Market storefront does not by itself create legal personality.
What company-law rules will need to define
- constitutive act and identity of the entity;
- representation and powers;
- minimum governance and liability;
- registrations and amendments;
- dissolution, restructuring and liquidation;
- appeal and correction when a registration is refused or incorrect.
